A federal Iraqi principal may not end or decline to renew an agency except for good cause. In the Kurdistan Region, which applies the older law the federal statute replaced, a principal is reported to be able to terminate at any time. One appointment, two exit positions, decided by where the agent is registered. We establish which law your arrangement would fall under before anyone signs anything.
The demand case is not in doubt. The prime minister’s financial adviser said in October 2026 that Iraq imports around ninety-five per cent of what its market needs outside the grain ration system, and put private-sector goods and services imports at around fifty billion dollars a year. Those are an adviser’s figures given at a forum rather than published statistics, and we would attribute them rather than lean on them, but no source disputes the direction.
The structure underneath is a trade base that is overwhelmingly retail. The statistical organisation’s internal trade survey for 2021 counted 318,316 trade establishments, of which 228,236 were retail and only 22,917 wholesale. Ninety-six per cent are urban. For a brand owner that shape matters: the route to market runs through a thin wholesale layer into a very large and fragmented retail base, which is why distributor coverage is the whole question and why nobody can tell you what it costs — there is no credible public data on how national coverage is actually achieved across the eighteen governorates, and we will not borrow a Gulf number to fill the gap.
Modern grocery exists but arrived from the north. Carrefour, operating with Majid Al Futtaim, had eight branches as at October 2024 — five in Erbil, one each in Sulaymaniyah and Duhok, and its first Baghdad store opened that year. There is also a government-backed chain, operating under the Ministry of Trade and selling essentials at a stated discount to market, with seven Baghdad branches open as at February 2025 and more planned. A state-owned grocery competitor is not a feature of most markets and is worth knowing about.
And then October 2026 happened. The dinar was reset to 1,500 to the dollar, close to fifteen per cent weaker, with the central bank stating that the adjustment supports national products and helps Iraqi goods compete with imports. In the same week an advance customs-collection measure that had been in force six days was suspended, and imported food and pharmaceuticals were exempted from customs duty altogether. Three contradictory-looking moves in one week is not unusual here, and it is the reason this page carries a date.
The second consequence of two administrations is physical. Goods lawfully imported into the Kurdistan Region are not thereby inside the Iraqi market. In May 2025 the national security service seized fifty-one vehicles at checkpoints in Kirkuk, Diyala and Nineveh, carrying food, electronics, construction materials and detergents out of the Region, and arrested the drivers, against a federal directive requiring QR-coded cargo and delivery within seventy-two hours. At the Ibrahim Khalil crossing, 3,550 tonnes were rejected or destroyed in the first four months of 2026 — and the stated grounds were breach of Iraqi standards and, at the same time, Kurdistan regulations, because a consignment there is tested against both.
Then there is the currency. On 7 October 2026 the dinar was reset to 1,500 to the dollar, close to a fifteen per cent devaluation, and the central bank’s own statement said the adjustment supports national products and helps Iraqi goods compete with imports. Read that as what it is: an import-substitution measure, announced as such. Any landed-cost model for this market built before October is wrong, and any pricing conversation that does not start there is a waste of a meeting.
Start with registration, because it is what makes an arrangement exist. A commercial agency must be licensed and the contract registered with the Registrar of Companies at the Ministry of Trade, and the licence renewed in the first sixty days of each year. An unregistered agreement is not recognised before Iraqi authorities and is unenforceable by either party. On the published reading of the law, the agent must be an Iraqi national and a corporate agent must be entirely Iraqi-owned, with no exceptions.
Registration is also, on one well-regarded account, what gives exclusivity teeth: a registered exclusive agent can prevent parallel imports at the border and stop others obtaining import licences, though doing so in practice means actively monitoring entry points. That is a single secondary source and we flag it as such, but it is the mechanism people mean when they say an Iraqi agency is hard to unwind.
The divergence is the thing to plan around. The 2017 federal law does not apply in the Kurdistan Region, which continues to apply the law it replaced — a law that covers only true agency, does not address distributorship at all, and under which a principal is reported to be able to terminate at any time. The Region also has its own registrar and its own agency licensing regulation. Those accounts date from 2017 and 2018 and we could not confirm the position is unchanged, which is itself worth knowing: the most commercially consequential fact about appointing in Iraq is one that nobody has written down recently.
Ask for each of these. Where we could not establish what the rule is, the list says so rather than inventing one, because a confident wrong answer about Iraqi paperwork is worse than an honest gap.
Each is a document to ask for or a fact to establish, and several concern your own legal position rather than the candidate’s competence.
Federal registration and Kurdish registration are different systems under different statutes with different termination rules. Work out where the candidate is registered, and what that means for ending the relationship, before you negotiate anything else. A federal registration does not cover the Region and the Region’s does not cover federal Iraq.
Goods lawfully imported into the Kurdistan Region have been seized moving into Kirkuk, Diyala and Nineveh, and federal conformity officers have been inspecting at checkpoints on that boundary as recently as July 2026. If a candidate promises national coverage from an Erbil base, ask precisely how it moves stock south and what that has cost it.
The dinar was devalued on 7 October, an advance customs-collection measure was suspended on the same day after six days in force, and imported food and pharmaceuticals were exempted from duty with effect from that date. Any model built before that month is describing a different market.
The programme editions disagree about whether cosmetics and cleaning products are in scope federally, and the Kurdish list is organised differently again. Do not accept a general answer; get your own product group confirmed against the current list.
Concealing, altering or falsifying an expiry date, or repackaging expired product with false dates, is a criminal matter under the consumer protection law, carrying imprisonment and a substantial fine. In the month to late November 2025 the security service reported seizing 140 tonnes of wheat in Baghdad and 32 tonnes of food unfit for consumption, and penalised twenty-five premises. Ask how the candidate manages shelf life, and what it does with short-dated stock.
At one crossing alone, 3,550 tonnes were rejected or destroyed across food, agricultural, veterinary, construction and cosmetic goods in four months of 2026. Ask a candidate what it has had refused, on what grounds, and what it changed afterwards. The answer is a better guide to competence than any certificate.
Iraq has been running an active agricultural protection policy, with bans on specific vegetables from December 2025, on chicken from January 2026, and on further products through 2026 under an approach its own ministry describes as tied to a domestic agricultural calendar. The list moves. Check it, and check whether it reaches your category rather than assuming it is about fresh produce.
Domestic commercial transactions must be in dinars, so your distributor sells in a currency it cannot use to pay you and buys in one it cannot sell in. Ask which bank, which correspondent, and whether it can open a letter of credit in a currency you will accept. Iraq was added to the FATF increased-monitoring list in June 2026.
A brand owner appoints in Erbil because it is easier, assumes Iraqi agency protections apply, and discovers either that it is in a jurisdiction where the principal may terminate at will, or that it is not — depending which way the surprise runs. Both directions are expensive and both are avoidable by asking first.
Fifty-one vehicles seized, drivers arrested, hundreds of tonnes held. Internal movement between the two administrations is a clearance event, not a logistics one, and a distributor that has never done it at volume will discover that with your inventory.
Arabic marking is required by statute and applies to importers. Whether it may be applied by sticker is not documented anywhere we could reach, and two instruments treat removable labels as a defect. Committing artwork and print runs before that question is answered is a risk people take without knowing they are taking it.
The devaluation was not a market movement that happened to importers. The central bank said the purpose was to help domestic product compete with imports. Treating it as a one-off shock rather than as a stated direction of policy leads to the wrong plan for the next two years.
This recurs across Iraqi sectors and it is worth repeating here: unregistered, the arrangement is not recognised and is unenforceable by you as much as by them. It reads like protection and is not.
Counterfeiting is described by the US State Department as widespread in the Iraqi market, with enforcement split across ministries and a backlog in trademark administration. The practical defence is registering your marks in Iraq before you appoint anyone, so that the agent cannot register them and so that the enforcement route under the trademarks law is available to you.
Commercially, firms will tell you yes. Legally and physically it is harder than it sounds. The agency statutes differ between federal Iraq and the Kurdistan Region and a registration in one does not cover the other. Goods lawfully imported into the Region have been seized moving into federal governorates, and federal conformity officers inspect on that boundary. We would test any national-coverage claim against how the candidate actually moves stock between the two.
We cannot tell you, and we would be suspicious of anyone who answers quickly. Unlike the Gulf markets, we could establish no general food product registration scheme in federal Iraq at all — the regime works through binding standards, labelling, premises licensing and inspection rather than product dossiers — and no federal cosmetics or household chemicals registration regime could be documented either. Whose name any approval sits in, how long it lasts and whether it transfers are all absent from the public record we could reach. For a specific product this has to be established directly with the authority.
Federally, more than in many markets, and in an unusual form. The protection runs through registration: on the published accounts a registered exclusive agent can block parallel imports at the border and prevent others obtaining import licences. That cuts both ways, because the same mechanism makes an incumbent difficult to displace. And termination requires good cause, a standard nobody has tested, with no compensation formula behind it.
A great deal, in one week. The dinar was reset to 1,500 to the dollar on 7 October, close to a fifteen per cent devaluation, with the central bank stating the purpose was to help domestic products compete with imports. An advance customs-collection measure that had taken effect on 1 October was suspended on the 7th. And imported food and pharmaceuticals were exempted from customs duty from the same date, ratified on the 13th. Anyone quoting you an Iraqi landed cost from before that month is quoting a different market.
For meat, yes on the sources we have: Islamic-rite slaughter and halal certification for meat and poultry, with testing on arrival, and the Kurdistan programme independently requires halal certification for meat. For non-meat food we could establish no requirement, and we could not identify a named Iraqi halal accreditation body. The meat sourcing is fifteen years old and should be re-confirmed before you rely on the detail.
Enough that the law treats it as criminal rather than commercial. Concealing, altering or removing an expiry date, or repackaging damaged or expired product with false dates, carries imprisonment of not less than three months and a fine of not less than a million dinars under the consumer protection law, with a reward for informants. Enforcement is real and reaches past the border into markets: inspection campaigns have checked expiry dates, storage conditions and weighing accuracy in Baghdad markets, and products that do not conform are withdrawn after they have landed.
Two agency regimes, an internal boundary that stops lawfully imported goods, and a currency that moved this month. The appointment decision here carries more structure than most markets put in a whole contract.
